Terms of Use (For Users)

Article 1 (Purpose)

These Terms of Service (hereinafter referred to as the “Terms”) set forth the conditions for the use of the blockchain game Sakura Nexus and all related services (collectively referred to as the “Service”) operated and provided by AI on Web3 Inc. (hereinafter referred to as the “Company”), and clarify the rights and obligations between the users and the Company.

Article 2 (Definitions)

The terms used in these Terms shall have the following meanings:

  • 1.“NFT” refers to a non-fungible token issued on a blockchain or similar digital asset.
  • 2.“Wallet” refers to a system that holds cryptographic keys used to store, transfer, and manage crypto assets and NFTs.
  • 3.“User” refers to any individual or legal entity that uses the Service.
  • 4.“Intellectual Property Rights” include copyrights, patent rights, trademark rights, design rights, portrait rights, publicity rights, and any other related rights.
  • 5.“Service NFTs” refer to NFTs issued or distributed by the Company in connection with the Service.
  • 6.“Service Site” refers to the official Sakura Nexus website operated by the Company.
  • 7.“Products” refer to in-game data, NFTs, and other digital content sold or provided by the Company.
  • 8.“Product Purchaser” refers to a User who purchases the Products.
  • 9.“Anti-Social Forces” refer to organized crime groups, members of organized crime groups, corporate racketeers, groups advocating social movements for illicit purposes, specialized criminal organizations, or any equivalent entities.

Article 3 (Scope of Application and Amendments)

  • 1.These Terms apply to all relationships related to the Service between the User and the Company.
  • 2.The Company may establish additional guidelines, policies, or supplementary rules, which shall constitute part of these Terms.
  • 3.The Company may amend these Terms without prior notice to Users when deemed necessary due to legal or other reasonable grounds. The revised Terms shall become effective upon being posted on the Company’s website.

Article 4 (Account Registration)

  • 1.Users shall register an account in accordance with the procedures specified by the Company after agreeing to these Terms.
  • 2.The Company may refuse registration in the following cases:
    • (1) If the applicant has previously been subject to suspension due to violation of terms.
    • (2) If the applicant is associated with Anti-Social Forces.
    • (3) If false information is provided during registration.
    • (4) If the Company otherwise determines the registration to be inappropriate.

Article 5 (Account Management)

  • 1.Users shall manage their account information at their own responsibility and shall not transfer or lend their accounts to third parties.
  • 2.All actions performed through an account shall be deemed actions of the registered User.
  • 3.The Company shall not be liable for any damages arising from inadequate account management by the User.
  • 4.Accounts that have not been accessed for a certain period (more than one year since the last login) may be deleted at the Company’s discretion.

Article 6 (Purchase and Handling of Products)

  • 1.When the Company sells NFTs or digital content, the price and conditions shall be displayed on the Service Site.
  • 2.A purchase agreement shall be formed when the purchaser completes payment using the method specified by the Company.
  • 3.NFTs shall be delivered to the User’s self-managed wallet, and such delivery shall be deemed completion of transfer.
  • 4.The Company shall not be liable for damages caused by blockchain specification changes, exchange service failures, network congestion, or other related issues.

Article 7 (Intellectual Property Rights and License)

  • 1.All Intellectual Property Rights related to the Service and the Products belong to the Company or its licensors.
  • 2.Product Purchasers may use the Products only within the scope permitted by the Company.
  • 3.Users grant the Company a royalty-free license to use posted content or in-game screenshots for promotional purposes and agree not to exercise moral rights of authorship.

Article 8 (Suspension or Modification of the Service)

  • 1.The Company may suspend or discontinue the Service without prior notice in the following cases:
    • (1) System maintenance, inspection, or malfunction
    • (2) Suspension or failure of blockchains or external APIs
    • (3) Natural disasters, power outages, communication failures, or other force majeure events
  • 2.The Company shall not be liable for damages arising from such events unless caused by intentional misconduct or gross negligence.

Article 9 (Prohibited Activities)

Users shall not engage in the following activities:

  • 1.Acts that violate laws or public order and morals
  • 2.Acts that infringe upon the rights of other users or third parties
  • 3.Fraud, hacking, reverse engineering, or similar activities
  • 4.Acts that interfere with the operation of the Service
  • 5.Unauthorized access, spam activities, or transmission of malware
  • 6.Fraudulent creation of multiple accounts or lending of account identities
  • 7.Providing false information or engaging in misleading conduct

Article 10 (Disclaimer)

  • 1.The Company shall not be liable for any damages incurred by Users in connection with the Service.
  • 2.The Company makes no guarantees regarding the market value, tradability, or resale value of NFTs or crypto assets.
  • 3.Users shall use the Service at their own risk.

Article 11 (Suspension and Termination)

If a User violates these Terms, the Company may suspend or delete the account without prior notice.

Article 12 (Governing Law and Jurisdiction)

  • 1.These Terms shall be governed by the laws of Japan.
  • 2.In the event that litigation becomes necessary regarding the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
